These Terms of Service (“Terms”) govern your access to and use of the Hermes platform operated by Odra Labs (“we,” “us,” or “our”) at hermes.odralabs.com (the “Service”). By creating an account or using the Service, you agree to be bound by these Terms.

1. Description of Service

Hermes is an AI-powered service that monitors, diagnoses, and fixes technical issues on WordPress and WooCommerce websites. The Service uses autonomous AI agents to analyze your site, generate code fixes, and — with your explicit approval — apply those fixes to your live production environment.

Important: Hermes operates on your live website — the same site your customers use to make purchases. Every fix includes an automatic backup and a 72-hour rollback window so you can reverse any change with one click.

2. Account Registration

To use Hermes, you must create an account and provide accurate information. You are responsible for:

• Maintaining the security of your account credentials
• All activity that occurs under your account
• Ensuring you have the authority to connect any WordPress site you add to the Service

You must be at least 16 years old to use the Service.

3. Subscriptions and Payment

Hermes is offered on a monthly subscription basis. By subscribing, you agree to:

• Pay the applicable fees for your chosen plan (Starter, Pro, or Business)
• Automatic monthly renewal unless you cancel before the end of your billing period
• Fees being non-refundable except as required by applicable law

Payments are processed by Stripe. Your payment information is handled entirely by Stripe and is never stored on our servers. We may change pricing with 30 days' notice before your next billing cycle.

4. AI-Powered Service and Your Authorization

By using Hermes, you acknowledge and agree that:

• The Service uses artificial intelligence (currently Google Gemini) to analyze your site files, diagnose issues, and generate code fixes
• AI-generated fixes are not guaranteed to be accurate, complete, or free of errors
• You are responsible for reviewing fixes before applying them to your production site
• When you approve a fix, you authorize Hermes to modify files on your live WordPress installation
• Your issue descriptions and site files are sent to third-party AI providers for processing
• Your data is not used to train or fine-tune any AI models

Safeguards

Every fix applied by Hermes includes:

• An automatic backup of affected files before any changes are made
• A 72-hour rollback window during which you can reverse the fix with one click
• HMAC-authenticated communication between Hermes and your WordPress site

After the 72-hour rollback window expires, the fix is considered accepted and the backup may be removed.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or to violate any applicable laws
• Submit sites you do not own or have authorization to manage
• Attempt to reverse engineer, decompile, or extract the source code of the Service
• Interfere with or disrupt the Service or its infrastructure
• Use the Service to distribute malware, spam, or malicious code
• Circumvent usage limits, rate limits, or access controls
• Resell or redistribute the Service without our written consent
• Submit intentionally misleading issue descriptions to manipulate AI outputs

6. Intellectual Property

Our property

The Service, including its software, design, AI pipeline, and documentation, is owned by Odra Labs and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, branding, or proprietary technology.

Your property

You retain all ownership rights to your WordPress site, its content, and your data. AI-generated fixes applied to your site become part of your codebase — you own the resulting code on your site.

You agree to indemnify and hold harmless Odra Labs and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

• Your use of the Service
• Your violation of these Terms
• Your authorization of fixes applied to your WordPress site
• Any content on your WordPress site
• Your violation of any rights of a third party

9. Account Termination

You may cancel your subscription and delete your account at any time.

We reserve the right to suspend or terminate your account if you:

• Violate these Terms or our Acceptable Use policy
• Fail to pay applicable fees
• Use the Service in a way that poses a security risk or could harm other users

Upon termination, your right to use the Service ceases immediately. We will delete your personal data in accordance with our Privacy Policy.

10. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. We may temporarily suspend the Service for maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned downtime.

11. Dispute Resolution and Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
